Welcome to Cytex.io (“Cytex,” “we,” “us,” or “our”). These Terms of Use (“Terms”) govern your access to and use of our website located at https://cytex.io (the “Website”), our AI-powered unified security platform, including AICenturion, LEO AI Co-Pilot, Real-Time Dashboard, Risk Insights, Compliance Ops, and any related services, features, content, or applications (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Services.

4.2 User Content

If you upload, submit, or otherwise provide data, feedback, or other materials (“User Content”) to the Services, you grant us a worldwide, royalty-free, perpetual license to use, modify, reproduce, and distribute such User Content to provide and improve the Services. You represent that you have all necessary rights to grant this license and that your User Content does not infringe third-party rights.

5. Integrations and Data Partners

The Services integrate with over 100 data partners (e.g., cloud platforms, security tools). You are responsible for complying with the terms of those third-party services. We are not liable for any issues arising from such integrations.

6. Fees and Payment

Certain Services may require payment. Pricing details are available on the Website or through your account. You agree to pay all applicable fees and taxes. We may update pricing with notice. Failure to pay may result in suspension of your access.

7. Data Security and Privacy

WE ARE NOT RESPONSIBLE FOR ANY DECISIONS YOU MAKE BASED ON INSIGHTS FROM THE SERVICES, INCLUDING RISK ASSESSMENTS OR COMPLIANCE RECOMMENDATIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYTEX AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless Cytex, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your use of the Services; (b) your violation of these Terms; or (c) your User Content.

11. Termination

We may terminate or suspend your access to the Services at any time, with or without cause. Upon termination, your license to use the Services ends, and you must cease all use. Sections that by their nature should survive termination (e.g., ownership, disclaimers, liability) will do so.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts located in Delaware. You agree to submit to the personal jurisdiction of such courts.

13. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use after such changes constitutes acceptance.

14. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Cytex.
  • Severability: If any provision is held invalid, the remainder shall remain in effect.
  • Waiver: No waiver of any term shall be deemed a further or continuing waiver.
  • Assignment: We may assign these Terms without your consent; you may not assign without our written consent.
